RESOLUTION 2006 - 29

The Board of Trustees of Miami Township, Clermont County, Ohio met in regular session at the Miami Township Civic Building on May 3, 2006 with the following members present: Edwin H. Humphrey, Ken Tracy and Mary Makley Wolff.

MR. TRACY made a motion to adopt the following Resolution:

RESOLUTION AUTHORIZING THE ASSIGNMENT AND FIRST AMENDMENT TO TAX EXEMPTION BENEFITS OF A TAX ABATEMEMT AGREEMENT TO HUEBER BROTHERS, INC., INNERWOOD & COMPANY, LLC, SEVEN HILLS INDUSTRIES, LLC, AND JADA REAL ESTATE HOLDINGS II, DISPENSING WITH THE SECOND READING

WHEREAS, the Miami Township Board of Trustees ("Township") and Board of Clermont County Commissioners ("County") granted a tax abatement to Edge Graphics, Inc. and Edge Holdings, LLC on March 21, 2000; and

WHEREAS, the tax abatement agreement contains a clause which allows the assignment of tax exemption benefits upon approval by the Township and County; and

WHEREAS, by means of a business cessation, Edge Graphics, Inc. and Edge Holdings, LLC, has sold their real estate interests to Hueber Brothers, Inc., Innerwood & Company, LLC, Seven Hills Industries, LLC, and Jada Real Estate Holdings II, herein referred to as "Applicants" and

WHEREAS, the Applicants are requesting that the tax exemption benefits previously granted to Edge Graphics, Inc. and Edge Holdings, LLC, be assigned to the Applicants in accordance with the assignment clause contained in the original tax abatement agreement; and

WHEREAS, the Township Administrator of Miami Township has investigated the assignment request and recommends approval to the Board of Township Trustees and Board of County Commissioners, on the basis that the Applicants are qualified by financial responsibility and business experience to create and preserve employment opportunities and improve the economic climate of the township and county.

NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of Miami Township ("Board"), Clermont County, Ohio by authority of Chapter 504 and Chapter 5709 of the Ohio Revised Code, as follows:

SECTION 1: That the Township in conjunction with the County does hereby grant the Applicants the assignment and first amendment to tax exemption benefits previously granted to Edge Graphics, Inc. and Edge Holdings, LLC.

SECTION 2: That the Township has granted this assignment and first amendment according to the attached formal agreement with the Applicants.

SECTION 3: The Board does hereby dispense with the requirement that this Resolution be read on two separate days, pursuant to Section 504.10 of the Ohio Revised Code, and authorizes the adoption of this Resolution upon its first reading.

SECTION 4: That this Board of Trustees hereby finds and determines that all formal actions relative to the passage of this Resolution were taken in an open meeting of this Board, and that all deliberations of this Board and of its Committees, if any, which resulted in formal action, were taken in meetings open to the public, in full compliance with applicable legal requirements, including Section 121.22 of the Ohio Revised Code.

SECTION 5: This Resolution shall take effect at the earliest period allowed by law.

MRS. WOLFF seconded the motion to adopt the Resolution. On the roll call being called the vote resulted as follows:
